Terms of Use

1. Who this agreement is with

Superposition is published by Agentic Quarks, LLC ("Agentic Quarks," "we," "us"). By installing or using the app you agree to these terms. If you do not agree to them, do not use the app.

2. License for personal use

We grant you a personal, non-exclusive, non-transferable, revocable license to install and use Superposition on Macs you own or control, for your own research. You may not resell, sublicense, rent, or redistribute the app, and you may not redistribute the market data it fetches or use it to run a data service for other people. You may not reverse engineer the app except where the law says you may do so anyway.

We may update, change, or discontinue features. If the app is distributed through the Mac App Store, Apple's standard licensed application end user license agreement also applies, and where it conflicts with these terms on a point Apple requires, Apple's terms control for that point.

3. No investment advice, no fiduciary relationship

Not investment advice. Nothing in Superposition is investment, financial, legal, accounting, or tax advice, and nothing in it is a recommendation, solicitation, or offer to buy or sell any security or other instrument. Scores, grades, ratings, scan hits, setups, guidance lines, and regime postures are the output of published rules applied to public data. They are not personalized to you, they do not consider your circumstances or objectives, and they are not a forecast.

We are not your broker, dealer, investment adviser, or financial planner, and using the app does not create an advisory or fiduciary relationship of any kind. Trading involves risk, including the loss of your entire investment. Past results shown anywhere in the app, including in your own journal, do not predict future results. Consider getting advice from a licensed professional who knows your situation before you act.

4. Data is provided as is, from third parties

Prices, bars, fundamentals, filings, disclosures, earnings dates, estimates, implied moves, and sentiment come from third-party and public sources. They may be delayed, incomplete, out of order, adjusted after the fact, or simply wrong. Quotes may be delayed and are not a quotation on which any transaction can be executed. Filings carry their own reporting lag: congressional disclosures can be many weeks behind the trade, 13F reports are quarterly snapshots that do not show short positions, and earnings dates are often estimates until the company confirms them.

All of it is provided as is and as available, with no warranty of accuracy, completeness, timeliness, or fitness for any purpose. Verify anything you are going to act on against the primary source. A third-party source can change, rate limit, or stop serving the app at any time, and that may break a feature without notice.

5. The app never places an order

Superposition does not place, preview, modify, or cancel orders. There is no order path in the app. It is a read-only research and monitoring tool, and it will stay one.

6. Your broker connection is between you and your broker

If you choose to connect a brokerage account, the connection is read only and optional. Your relationship with that broker, and their agreement with you, governs that account. We are not affiliated with, endorsed by, or acting for any broker. Connecting through a third party's interface may be subject to that party's terms, and it is your responsibility to make sure your use is allowed under them. Your broker's records, not the app's display of them, are authoritative for what you actually hold.

7. Subscriptions and tips

Paid tiers and tips are not active yet. When they are, and where the app is distributed through the App Store, subscriptions and tips are sold and processed by Apple as in-app purchases. Apple handles billing, renewal, refunds, and cancellation under the terms of your Apple account, and you manage or cancel a subscription in your Apple account settings. A subscription renews unless you cancel it before the renewal date. A tip is a voluntary payment. It supports the work and it moves your request up the triage order; it does not buy a promised feature, a delivery date, or any other outcome. Prices are subject to change; a change never applies to a period you have already paid for.

8. Your responsibilities

You are responsible for your own trading decisions, for the security of your Mac and your accounts, for keeping your own backups of your data folder, and for complying with the laws and the market rules that apply to you. Do not use the app to break a data provider's terms, and do not use it for anything unlawful.

9. Warranties and limitation of liability

To the fullest extent the law allows, Superposition is provided as is and as available, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the app will be uninterrupted, error free, or that any number in it is accurate.

To the fullest extent the law allows, Agentic Quarks, LLC is not liable for any trading or investment loss, lost profits, lost data, or any indirect, incidental, special, consequential, or punitive damages arising from your use of the app, including any loss that follows from data being wrong, delayed, or missing, or from an alert that did not fire. Our total liability for any claim relating to the app is limited to the amount you paid us for it in the twelve months before the claim, or twenty five US dollars, whichever is greater. Some jurisdictions do not allow some of these limits, in which case they apply to you only as far as the law allows.

10. Termination

You can stop using the app and delete it at any time; your data folder stays on your Mac until you delete it yourself. We may suspend or end this license if you breach these terms. Sections 3, 4, 9, and 11 survive termination.

11. Governing law

These terms are governed by the laws of the State of Nevada, without regard to its conflict of laws rules, and the state and federal courts located in Clark County, Nevada have exclusive jurisdiction over any dispute arising from them. Nothing here takes away a consumer right you have under the law of the place you live that cannot be waived.

12. Changes to these terms

If these terms change, the effective date at the top changes with them, and continuing to use the app after that means you accept the new version. The current version always lives at this address.
